About the Firms

First Hill Trust Company (“First Hill Trust” or “FHTC”) is a Washington state-chartered trust company providing retirement plan fiduciary, trustee, custody, administration, recordkeeping, and related services. When engaged as discretionary trustee, First Hill Trust acts as an ERISA §3(38) investment manager and fiduciary with respect to the plan assets and authority specified in the governing trust agreement. BAC Capital Advisors (“BAC”) is an investment adviser registered with the U.S. Securities and Exchange Commission (“SEC”) and a wholly owned subsidiary of First Hill Trust. Registration with the SEC does not imply a certain level of skill or training.

Plan sponsors may engage First Hill Trust, BAC, or both entities. When First Hill Trust is engaged as discretionary trustee, BAC provides sub-advisory services to First Hill Trust and, on its behalf, delivers sponsor meetings, trustee meetings, and participant education. When BAC is engaged directly without First Hill Trust as trustee, BAC enters into a written investment advisory agreement with the plan sponsor. Services, fees, fiduciary responsibilities, and the capacity in which either entity acts are governed solely by the applicable written agreements.

Regulatory supervision

First Hill Trust Company is chartered and supervised by the Washington State Department of Financial Institutions. BAC Capital Advisors is registered as an investment adviser with the U.S. Securities and Exchange Commission. Trust assets held by First Hill Trust Company are not deposits, are not insured by the FDIC or any other government agency, and are not obligations of or guaranteed by any bank.

Affiliated-party arrangement

First Hill Trust and BAC have a financial interest in plan sponsors engaging one or both affiliated entities. When First Hill Trust is engaged as trustee, its fees include amounts paid to its wholly owned subsidiary BAC for sub-advisory and related services. This is an affiliated-party arrangement, and the consolidated First Hill Trust/BAC enterprise benefits from the engagement. Plan fiduciaries are encouraged to obtain comparable information from unaffiliated providers as part of any prudent review process.
